ZeroStack warns of survival doubt amid $82.5M loss

- ZeroStack filed a Form 10-Q with the SEC on Friday warning of "substantial doubt" about its ability to continue as a going concern over the next 12 months, reversing its assessment from its Q1 filing.
- The company reported $2.6M in cash, negative working capital of $600K, and an accumulated deficit of $339.1M as of June 30, alongside an $82.5M fair value loss on digital assets and a $61.3M net loss for H1 2026.
- ZeroStack's 75.1 million Zero Gravity (0G) tokens were carried at an aggregate cost of $163.3M but had a fair value of just $15.2M — roughly 91% below recorded cost.
- The company funds operations through staking rewards and token sales, generating $3.8M in H1 staking revenue (earning ~6.6M 0G tokens) and selling nearly 4.9M tokens for $2.4M to cover expenses.
- Management acknowledged it could not conclude those funding plans would ease going-concern doubts, though it retains the option to sell additional treasury holdings.
- ZeroStack was previously cannabis and CBD firm Flora Growth, rebranding on Sept. 19, 2025 after securing $401M in commitments for a 0G treasury strategy — including $35M in cash and more than $366M in in-kind digital assets — while retaining its Nasdaq listing.
Why it matters: ZeroStack is a stress test for the publicly traded crypto-treasury model: its $401M 0G pivot is now 91% below recorded cost, and $3.8M in H1 staking revenue barely makes a dent against a $339.1M accumulated deficit. The swing from "sufficient" to "substantial doubt" in a single quarter shows how quickly a single-token treasury strategy can unravel when the underlying asset and the firm's solvency are linked.
